The organization “Young Barristers”, due to high public interest, publishes additional materials concerning the case regarding the return of the half-million estate unlawfully taken from the family of Sheban Ghaghaishvili in Kobuleti, the materials confirm the bad faith and unlawful actions of the current owner of the property. In particular, despite written warnings about the disputed status of the estate, the family of Jemal Batadze, a well-known businessman in Adjara’s restaurant sector, purchased agricultural land plots located near the Kobuleti bypass road, at the address: Kobuleti, village Kvirike, total of 8,638 sq.m of land, registered under three separate cadastral codes. Specifically, the properties were registered under the name of Jemal Batadze’s son – Vazha Batadze. The statement about the above-mentioned was released by the organization “Young Barristers”, who represent the interests of the affected family.
The NGO “Young Barristers” notes that based on the claim of Taliko Ghaghaishvili, a direct heir with the right to demand restitution, the court reviews the case with following demands: To annul all transactions related to the property, declaring them sham and fraudulent, unlawful and immoral. The court imposed a provisional measure prohibiting Jemal Batadze’s family from dividing, merging, selling, mortgaging, or carrying out any construction activity on the land until a final judgment enters into legal force. Vazha Batadze received the disputed properties on the basis of purchase agreements dated March 28, 2025 and April 28, 2025, concluded with Rezo Diasamidze and Lali Kutateladze (mother), however, during the transfer of ownership, the Diasamidze family was already a party to the ongoing court proceedings and on April 24, 2024, in a face-to-face meeting, representatives of the affected family reiterated that the original and lawful owner had an interest in reclaiming the property. Despite this, the Diasamidze family took the advantage of the temporary lifting of the court’s prohibition on selling the property and, despite the legal resistance of the Ghaghaishvili family, the land was sold by the Diasamidze familyimmediately, on the very same day, to the Jemal Batadze family.
The organization “Young Barristers” explains that on March 28, 2025, one property was first transferred to Jemal Batadze’s family. Since the affected family received information that Jemal Batadze’s family intended to fully “acquire” the land plot, on April 2, 2025, Archil Kaikatsishvili, the authorized lawyer of the affected family, notified Vazha Batadze in writing that all three disputed properties were the subject of an active court case, were under judicial review and that the properties had been unlawfully seized, that the transactions were sham and fraudulent, and that any buyer would be considered acting in bad faith. Archil Kaikatsishvili demanded that the March 28, 2025 transaction and any upcoming deals be annulled. However, Jemal Batadze’s family failed to exercise the necessary legal diligence. It should be noted out that shortly after this official notification, Jemal Batadze (father of Vazha Batadze) personally called Archil Kaikatsishvili via WhatsApp. The organization notes out that the Batadze family lives near the disputed land in the village of Kvemo Kvirike, and in 2015, when the family first expressed interest in purchasing the land, they were informed in detail about the legal defects of the property by Sheban Ghaghaishvili’s grandsons Roland and Emzar Ghaghaishvili. Their conduct is therefore especially unacceptable and subject to criticism.
According to the monitoring of “Young Barristers”, the following has been established:
1. Jemal Batadze is the 100% shareholder and director of LLC “Geo-Tour” (I/N 445384030), founded on February 23, 2010, with Turkish partners. Based on the latest extract from Registry of Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities, dated September 26, 2017, Jemal Batadze remains to be the sole owner and director.
2. Jemal Batadze is the 100% shareholder and director of LLC “M.J.B” (I/N 245588378), founded on March 21, 2007. Based on the latest extract from Registry of Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities, dated March 6, 2013, Jemal Batadze was still the owner and director.
3. On August 1, 2017, Jemal Batadze co-founded LLC “Orbi Holding” (I/N 446970742) with Omar Sirabidze, each holding 50%. Jemal Batadze served as director until August 25, 2017. Afterwards Davit Sirabidze became the director of the company and on August 29, 2019, based on the partners decision – Giorgi Sirabidze. Later, shares were redistributed among Jemal Batadze (33.3%), Omar Sirabidze (33.3%), and Roland Khalvashi (33.4%). Based on the partners meeting resolution, dated October 22, 2019, and purchase agreement, dated October 22, 2019, Jemal Batadze and Khalvashi sold their shares to Roman Sirabidze, who became the 66.7% shareholder, which remains unchanged based on the latest extract from Registry of Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities, dated February 17, 2021.
4. Jemal Batadze was the 100% shareholder and director of LLC “Utevani” (I/N 445383246), founded on January 22, 2010, from October 26, 2017, to January 9, 2019. Based on the latest extract from Registry of Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities, dated October 23, 2024, the owner and director was Jemal Katamadze.
5. Jemal Batadze was a 50% shareholder of LLC “Da-To” (I/N 445499693), founded on January 20, 2017. Badri Diasamidze was 50% shareholder and co-director since 2017, the foundation of the company and according to the minutes of the partners’ meeting of January 23, 2017, a decision was made to appoint Jemal Batadze as a co-director of the company with equal rights. According to the minutes of the partners’ meeting of February 2018, Batadze transferred his shares free of charge to Diasamidze and resigned as director. As of September 2017, the director of the company is Giorgi Tsetskladze, whereas according to the latest extract of entrepreneurs and non-entrepreneurial (non-commercial) legal entities as of October 2, 2024, the director and 100% shareholder-manager of the company is Badri Diasamidze.
Regarding Vazha Batadze, under whose name the disputed property was registered: according to public sources, he owns shares and managerial rights in 5 active and 1 former company. In particular:
1. On January 24, 2025, Vazha Batadze, together with Ukrainian citizens, founded LLC Premium Trade Corporation (I/N 445775055), with the charter capital distributed as follows: Vazha Batadze – 51%, Oleksandr Alieksieiev – 22%, Oleksii Mykhailyuk – 22%, Dmytro Kvasnikov – 5%. The company’s director, equally alongside the other partners, is also Vazha Batadze.
2. On June 4, 2025, Vazha Batadze, together with citizens of Turkey and Azerbaijan, founded LLC Rene Lifts Company (I/N 445790216), with the charter capital distributed as follows: Vazha Batadze – 25%, Zurab Kontselidze – 25%, Kemal Oral – 25%, Ayaz Gahramanov – 25%. The company’s director is Vazha Batadze.
3. On March 28, 2021, Vazha Batadze, together with a citizen of Turkey, founded LLC K Capital (I/N 445595874), with the charter capital distributed as follows: Vazha Batadze – 50%, Shafak Deria – 50%. The company’s director is also Vazha Batadze.
4. On February 5, 2020, Vazha Batadze founded LLC Batha (ID 446978101), whose 100% shareholder-manager, since October 18, 2024, is a family member – his mother, Ineza Beridze. The company’s director is also Vazha Batadze. Until July 1, 2024, the company’s director was Giorgi Tsetskladze.
Vazha Batadze also owns 18% share in LLC Rene Town (founded on Oct 15, 2024, I/N 446999348) and 34% share in LLC Rene City (founded on Aug 2, 2023), and previously, from October 21, 2021 to February 08, 2022, held 33.3% share in LLC Frozen Food.
The NGO’s monitoring revealed that under LLC “Utevani” operates the well-known restaurant “Riviera” on municipal land in Batumi. This restaurant business is still connected to the de facto ownership of Jemal Batadze, as well as the construction and development company LLC “Rene Group” (I/N 405358358), which operates in the market under the name of “Rene”. The company was founded in October 2019, and based on a share purchase agreement dated May 6, 2022, Giorgi Tsetskladze became the owner of 100% of the company’s shares. On December 27, 2022, the company’s director was also changed, and on February 13, 2024, the company’s trade name was changed from LLC “Grosman Group” to LLC “Rene Group.” According to the latest extract as of August 16, 2024, the director of LLC “Rene Group” is Mindia Khinikadze, and the 100% shareholder is Giorgi Tsetskladze, who is, in turn, a neighbor and a trusted person of Jemal Batadze. As previously noted, Giorgi Tsetskladze was registered as director, for the needed period, in Vazha Batadze’s (son) company LLC “Batha” (I/N 446978101) and Jemal Batadze’s (father) company LLC “Da-To” (I/N 445499693).
The “Young Barristers” further explains that in 2007, individuals Badri Ghaghaishvili and Dato Ghaghaishvili, by prior agreement, created and implemented a scheme to seize properties. Subsequently, within their family and close circle, based on illegal, immoral, sham and fraudulent agreements they carried out the transfer of land plots. They misled persons associated with them, who were engaged in construction and later restaurant businesses in Adjara, into believing that the property was free of encumbrances, which later became known to the family.
The actual possession of the mentioned properties has been established and confirmed through archival records and registry entries, which are presented in the court files. Sheban Ghaghaishvili owned agricultural land plots in the village of Kvirike, currently located near the Kobuleti bypass road. In the past, this settlement was known as Shkhuliati, which meant sowing lands. This is confirmed by archival certificates issued on February 23, 2024, by the Archival Department of the Ministry of Education, Culture, and Sports of the Autonomous Republic of Adjara.Badri Ghaghaishvili and Dato Ghaghaishvili initially unlawfully seized the hereditary property of Sheban Ghaghaishvili’s family, who was the brother of their grandfather, Jemal Ghaghaishvili. During the disputed period, Badri Ghaghaishvili, a lawyer by profession, worked at the election commission from the political party “United National Movement” and maintained personal relationships with local self-government leaders and party affiliates. Consequently, the properties were appropriated with the support and decision of the Commission for the Recognition of Ownership Rights over arbitrarily occupied land in the Kobuleti Municipality.
The organization conducted a thorough analysis of the family and kinship circle involved in deceptive, fictitious, illegal, and immoral transactions. Badri and Dato Ghaghaishvili formally transferred the properties to the following individuals, while benefiting financially from them over the years:
- Tamaz Liparteliani – husband of Nato Kardava’s (wife of Badri Ghaghaishvili) sister.
- Omar Girkelidze – husband of Badri Ghaghaishvili’s maternal uncle’s daughter [cousin-in-law].
- Archil Iashvili – husband of Badri Ghaghaishvili’s wife Nato Kardava’s second sister.
- Ramaz Diasamidze – husband of Badri and Dato Ghaghaishvili’s cousin Natia Makharadze; founder, 100% shareholder-manager, and director of the construction company LLC “Sandros” (I/N 445408229).
- Murman (Raul) Diasamidze – brother of Ramaz Diasamidze.
- Lali Kutateladze – wife of Murman (Raul) Diasamidze (as of 2015, the responsible person for providing public information at the Batumi City Court).
- Irakli Diasamidze – brother of Ramaz and Murman (Raul) Diasamidze.
- Rezo Diasamidze – son of Murman (Raul) Diasamidze.
The “Young Barristers” notes that a personal acquaintance and business relationship has been established between businessman Diasamidze and businessman Batadze. As previously mentioned, Jemal Batadze held a 50% share in LLC “Da-To” (I/N 445499693), founded on January 20, 2017. From the company’s founding, Badri Diasamidze was the owner of the 50% share and served as director. According to the minutes of the partners’ meeting on January 23, 2017, it was decided to appoint Jemal Batadze as co-director with equal rights.According to the minutes of the partners’ meeting on February 7, 2018, Jemal Batadze gratuitously transferred his 50% share in the charter capital to Badri Diasamidze, a close relative of businessman Diasamidze’s family.
FYI: the organization continues to pursue extensive and multi-faceted legal proceedings on behalf of Taliko Ghaghaishvili’s family regarding the restitution of hereditary property that was taken from them, addressing criminal, civil, and administrative claims. The organization closely monitors any actions that could obstruct the restoration of justice, including possible influence or use of resources by businessmen over courts and administrative bodies. All such instances, within the scope of ongoing monitoring, will be exposed and held accountable. A documentary film will also be released, and a response will be provided to the group acting in bad faith.
Taliko Ghaghaishvili’s interests are represented on behalf of the organization by its head, Archil Kaikatsishvili.
